Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Fiden CFO ("Service"), operated by Echo AI Enterprise, Inc. ("Company", "we", "us", or "our"), a Delaware corporation. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Fiden CFO is an AI-powered financial intelligence platform for startups and growth-stage companies. The Service connects to third-party financial tools (including Stripe, Mercury, Ramp, and others) to aggregate financial data, generate reports, automate accounting workflows, and provide AI-driven financial analysis.

The Service is not a licensed accounting firm, registered investment advisor, tax advisor, or financial institution. Any outputs, reports, or recommendations generated by the Service are for informational purposes only and do not constitute professional financial, accounting, tax, or legal advice.

3. Account Registration

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately at support@fidencfo.com if you suspect unauthorized access.

You must be at least 18 years old and have the authority to bind the organization on whose behalf you are registering. The Service is intended for business use only, not personal or consumer use.

4. Subscriptions and Payment

Access to the Service requires a paid subscription after the 14-day free trial period. Subscriptions are billed monthly in advance. All fees are non-refundable except as expressly stated herein or required by applicable law.

We reserve the right to change pricing with 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing. If you cancel your subscription, you retain access until the end of the current billing period.

If payment fails, your account will enter a read-only grace period of 7 days before access is suspended. All data is retained for 90 days after suspension.

5. Third-Party Integrations

The Service connects to third-party platforms (e.g., Stripe, Mercury, Ramp, Gusto, QuickBooks, AWS, Carta, Pulley) via API credentials you provide. By connecting a third-party service, you authorize us to access, retrieve, and process data from that service on your behalf.

We are not responsible for the availability, accuracy, or security of third-party services. Your use of third-party services is governed by their respective terms of service. We recommend using restricted API keys with read-only permissions where possible.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of all financial data you connect to or upload to the Service. We do not sell your data to third parties.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to process data on behalf of third parties without their consent
• Resell or sublicense the Service without our written consent
• Introduce malware, viruses, or other harmful code
• Use automated means to scrape or extract data from the Service

8. Intellectual Property

The Service, including all software, algorithms, AI models, user interfaces, and content created by us, is owned by Echo AI Enterprise, Inc. and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited license to use the Service as described herein.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

FINANCIAL DATA, REPORTS, AND AI-GENERATED OUTPUTS ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY. YOU SHOULD NOT MAKE FINANCIAL, LEGAL, OR BUSINESS DECISIONS BASED SOLELY ON OUTPUTS FROM THE SERVICE WITHOUT INDEPENDENT VERIFICATION.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ECHO AI ENTERPRISE, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.

11. Indemnification

You agree to indemnify, defend, and hold harmless Echo AI Enterprise, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law. Upon termination, your right to use the Service ceases immediately.

You may export your data at any time while your account is active. After termination, we will retain your data for 90 days before permanently deleting it, unless legally required to retain it longer.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by displaying a notice in the Service at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
